SDNARI BYLAWS

Article I - The name of the organization shall be SDNARI. It shall maintain an office in a location  designated by the executive committee.

Article II -   Objectives

A. To provide an opportunity for women of South Asian Origin in San Diego to function as a united group under one organization.

B. The association is organized to promote awareness of issues relevant to South Asian Women through educational and motivational activities.

C. To strengthen the community by involvement by our youth, elders, friends and neighbors.

D. To inform and empower women of South Asian communities by acting as an agent of change in eliminating biases, discrimination and injustices targeted against.

E. Quality Educational seminars to enhance relationships with spouse, children and professional relationships and enhance women’s personal health, happiness and growth.

F. To offer oppurtunities for various service projects both local and international.

G. To function as a resource and referral organization to issues related to domestic violence.

H. To assist with suitable resources and direction during personal emergencies.


Article III

Set forth in Article II hereof the association shall not carry on any activities not permitted to be carried on (as by a corporation exempt from Federal Income tax under Section C, (3) of the Internal Revenue law, or (b) by a corporation, contributions to which are deductible under Section 170 of the Internal Revenue Code of 1986 and the corresponding provision of any future United States Internal Revenue Law.

Section 3.2  Dissolution

Upon the dissolution of the Association the executive committee, after paying and making provisions to the payment of all liabilities of the assoc,. dispose of all the asset of the assoc., in such a manner and to such organization exclusively for charitable, cultural purposes as shall at the time qualify as an exempt organization and organization under Section (3) of Internal Revenue Code of 1986.

Article IV Membership

Membership shall be open to women of South Asian Origin in the United States. However, it will not exclude any other women, diversity will be highly encouraged.

Section 4.1

Any person may attain membership in SDNARI provided that the applicant:

A. Subscribe to the objectives of the organization.

B. Abide by the bylaws rules and regulations.

C. Pay the prescribed dues.

D. Submit an application in the prescribed form.

E. Provided that the application for  membership shall be approved by the governing bodies of SDNARI by majority vote.

Section 4.2 Revocation

Membership may be revoked if the individual member violates the Constitution of Bylaws of SDNARI, and if the revocation is approved by a two third integrity of the members at a general body meeting. , provided the member has been informed by such action and informed of the reasons of such action.

Article V Annual Meeting

Section 5.1

The Annual meeting shall be held during the last quarter of each year with the year ending in December.

Article VI General

Section 6.1 General Body

The General body shall consists of all dues paying and voting members.

Section 6.2 General Body Meeting

A. The General Body of SDNARI shall meet at least once a year. The President shall have the power to call additional general body meetings.

B. If one third of the dues paying members of SDNARI requests special General Body Meeting with 60 days advanced notice and signed petition, the President shall convene such a meeting.

C. All members shall be notified of all General Body Meetings by email at least 15 days before each General Body Meeting.

D. Presence of at least 3-5 of the members of SDNARI shall constitute a quorum.

Article VII Governing Body Executive Committee, Sub Committee Directors and Board of Trustees.

Section 7.1 Governing Body

A. The Governing Body shall consists of (a) Executive committee (b) Sub Committee Director (c) Chairperson of SubCommittee.

B. The Governing Body shall have the duties and rights as ordinarily delegated to the governing body of an association or corporation. It shall govern and direct the activities of the association. It may fill any vacancies in the governing body by appointment, in accordance with the provisions of the constitution.

C. The Governing Body shall meet once a year.

D. Special Meetings: The President may as she deems necessary, call special meetings. The secretary shall, at the written request of  twenty precent of the voting members of the governing body, issue a call for a special meeting of the governing body.

E. A quorum for any meeting of the governing body shall consist of at least twenty percent of the governing body members eligible to vote.

Section 7.2 Executive Committee

The Executive Committee is the main deliberative party for the policies of the association and shall provide leadership.

A. The Executive Committee of SDNARI shall consist of a President, President Elect, Secretary, Treasurer, immediate Past President and President-Elect, Marketing Coordinator, Legal Advisor, Youth representatives, SubCommittee Chairs and members at large.

B. Terms of office will be two years. No elected officers shall server more than two consecutive terms in the office. Only experienced persons (2 years) in the association shall be elected to President, Vice President, Secretary and Treasurer position.

C. Executive committee shall meet not less than three times per year.

D. A quorum for any meetings of the executive committee shall consist of more than fifty percent/ proxy voting will be counted of the executive committee members to vote at such a meeting.

Section 7.3 Sub Committee Directors.

The Sub Committee Directors will represent the various projects of SDNARI as designated by the Executive Committee. Sub Committee Directors shall be appointed by the President and approved by the Executive Committee. The term of the office will be two years. It can be renewed by reappointment by the President and the Executive Committee. Only members of SDNARI shall be eligible for nominations and elections to these offices.

Section 7.4 Board of Trustees.

There shall be five members on the board of trustees. All past Presidents in the last five years will serve on the board of trustees except for the first four years of the inception of the association. During the first four years ( from 2011) the Board of Trustees will be elected by the Governing Body. The term of Board of Trustees will be three years. The Board will meet at least once a year. The chairman of the Board will be an ex officio member of the governing body and executive committee.

Article VIII Duties of officers, Executive Committee and Board of Trustees

Section 8.1 President.

The President will be chief executive officer of the association and shall perform all duties incident to the office of the President and such other duties that may be designated by the governing body. She shall preside at all meetings of the association, the Executive Committee and the Governing Body and make such appointments as are required and authorized by the constitution and the governing body. She may sign with the Treasurer and any other proper officer of the Association authorized by the governing body, any deeds, mortgages, bonds, contracts or other instruments which the governing body has authorized to be executed, except in cases where the signing and execution shall be expressly delegated by the governing body to some other expert of the Association.  She shall designate all other official delegates and representatives to other group and appoint heads of committees as may be necessary to further the association objectives and may discontinue any such committees when its purpose has been served, in consultation with the Executive Committee.

Section 8.2 President Elect

The President Elect shall pertain to the duties of the President in her absence and shall assist the President and Secretary as needed. She shall succeed the President to the office of the President if she is unable to complete her term for any reasons.

Section 8.3 Secretary

The Secretary shall

A. Coordinate and accurately compile a record of the minutes of the meetings.

B. Maintain an updated list of all the members of SDNARI.

C. Keep a copy of all official correspondences of and to the organization including newsletters, program brochures for the activities of the organization and information submitted by the committee chairperson.

D. Keep attendance record of all meetings of the organization.

E. Be custodian of the Constitution, Bylaws and Amendments of the organization.

F. Notify Committee members of their appointment and duties to perform.

G. Maintain books, reports, statements, certifications and other documents and records required by law filed and accessible.

H. Be a member of Executive Committee in the same capacity.

I. Available to perform such other duties and exercise other powers that maybe assigned by the Executive Committee in the same capacity.

J. Be responsible for transferring all the records of the organization within thirty days after the Bi-Annual meeting, to the incoming Secretary.

Section 8.4 Treasurer

The Treasurer shall

A. Be responsible for insuring and collecting annual dues and deposit same in such banks and trust companies as Executive Committee may designate.

B. Shall have custody of all the receipts and disbursements which shall be open at all reasonable times to inspection by the Executive Committee.

C. Shall submit a financial report to the Executive Committee at its Annual Meeting and at regularly held Executive Committee Meetings.

D. If required by the Executive Committee, she shall give a bond with such surety and in such amounts as the Executive Committee may designate.

Section 8.5 Youth Representative

The Youth Representative will be the liaison for the activities of teens and college age students. They will attend all Executive Committee Meetings and will further the missions outlined for youth.

   Section 8.6 Board of Trustees

The Board of Trustees shall server SDNARI as an Advisory capacity and maintain residuals for ensuring the fiscal welfare and eligibility. It will not interfere with the regular operation of SDNARI which will remain as provided for in their constitution and BYLAWS document. It will be the custodian of all the assets of SDNARI and will be caretaker body at the time of dissolution.

Section 8.7 Advisory Board

The Advisory Board shall serve an indefinite term in advisory capacity to further the goals of the organization. The Advisory Board can guide and give professional recommendation that can further the mission of SDNARI.
